The Opportunity
We’re seeking an attorney licensed in both New York and New Jersey with at least five years of experience in:

• Acquisitions of private companies
• Owner agreements for private companies
• Incentive compensation arrangements
• Corporate law for Delaware entities
• SAFEs, Convertible Notes, and Preferred Stock
• Securities law for capital raises
• Joint ventures

The role also includes occasional appearances at court hearings in New Jersey for business law matters (with litigation support provided by a senior attorney) and the ability to meet with clients in NJ or NYC as needed. Internal team collaboration is fully remote.

We want an attorney who thrives on the practice of law, someone energized by drafting complex agreements, negotiating deals, and bringing clarity to challenging situations. The ideal candidate is:

• A precise communicator (written and verbal) able to explain complex concepts to any audience
• Highly detail-oriented and deadline-driven
• Responsive, proactive, and collaborative
• Comfortable working with clients from varied financial and cultural backgrounds

License/Certification:

• License to practice law in the State of New Jersey
• License to practice law in the State of New York

This is not the right role for someone looking to build their own book of business or operate their own firm.
