Job Description

We are seeking a mid-level associate with 3-5 years of large law firm experience to join our clients investment management practice. As an associate, you will be joining a renowned and well-established global law firm. The ideal candidate will have familiarity with private fund structures, laws and regulations governing private funds and managers.

RESPONSIBILITIES

• Drafting and negotiating Limited Partnership Agreements (LPAs), Private Placement Memoranda (PPMs), and subscription agreements for various private funds.
• Structuring management entities, general partners, and complex GP-led secondary transactions or restructurings.
• Assisting institutional investors and family offices with co-investments and fund investments.
• Perform all other duties, tasks or projects as assigned.

QUALIFICATIONS

• 3-5 years of large law firm
• Experience forming private investment funds, such as hedge funds, venture capital funds and/or private equity funds
• Structured & drafted documentation for upper tier management entities and bonus and carry plans
• Worked on secondary transactions, including GP-led restructurings
• Assisted with investments by institutional investors in private funds and co-investments.

REQUIREMENTS

• JD (Juris Doctor) Degree from an Accredited Law School
• Active Massachusetts Bar Membership in Good Standing
• AM Law 100 – 200 experience preferred
• Must have familiarity with private fund structures, laws, and regulations governing private funds and managers.
