Within the Office of the General Counsel (OGC) will be responsible for providing legal and commercial counsel for multiple lines of business and/or staff groups. This position will support all lines of business, the Finance group, and their respective senior management teams. This position will support the OGC by serving as subject matter experts in key practice areas to the Global Executive Team (GET).
Acts autonomously as a Corporate and Transactional Subject Matter Expert (SME) and the main point of contact for legal concerns for business partners and departments
Identifies and assesses current and future risk, and determines and effectuates appropriate course of action for a wide spectrum of risks, for specific department/Line of Business (LOB) or enterprise-wide
Leader in substantive specialty (Corporate/Transactional) and broader general legal knowledge and in developing procedures and quality standards within the organization as well as influencing external standards and regulatory procedures
Provides advice and guidance on daily Corporate and Transactional legal matters relevant to the business and/or staff group as well as on an enterprise-wide level
Proactively monitors and analyzes changes in laws, regulations, and industry and advises stakeholders in a timely manner
Solves unique and highly complex problems that have a broad impact on the business, contributes to the development of corporate strategy, and provides strategic legal advice and counsel to key stakeholders, including members of the Global Executive Team
Leads large initiatives that impact the business domestically and internationally; leads the largest initiatives with the highest significant impact upon a complex and global business, actively trains paralegals and junior counsel
Possesses intimate working knowledge of Pillar Wide/Enterprise level operations and company operations overall
Regularly provides guidance to more junior attorneys and serves as a resource to others in the Office of General Counsel
Effectively manages outside counsel to obtain cost-effective legal advice
Job Specifications
Typically has the following skills or abilities:
Juris Doctorate degree and a current State Bar License to practice law
10+ years of legal experience in-house or law firm that specializes in health care and/or Corporate/Transactions (including M&A)
Proven success in Corporate and Transactional practice areas; expertise in managed teams or team project work; established ability to support executive leadership and above
Demonstrated ability to participate in high-level company-wide planning and strategy efforts
Ability to exercise discretion and independent judgment in the performance of the job duties; ability to persuade and elicit cooperation from internal business partners
Demonstrates ability to be a decision-maker showing balanced consideration of business issues
Ability to work in a fast-paced environment and juggle multiple priorities and deadlines and work with various stakeholders
Excellent analytical and problem-solving skills
Excellent written, verbal, research, and communication skills
Proactively collaborates across the enterprise and the Office of the General Counsel to mitigate risk
