Location : Singapore
We are looking for someone technically strong Singapore company secretary who can independently manage complex Pte Ltd and VCC portfolios, while also demonstrating exceptional client-facing skills, commercial awareness, and the ability to build trusted relationships with directors, fund managers, and professional advisers.
Job specification
Manage a portfolio of Singapore entities, including:
Private Limited Companies (Pte. Ltd.)
Variable Capital Companies (VCCs)
Foreign branches and other corporate structures (where applicable)
Act as the named Company Secretary for clients entities.
Act as the primary subject matter expert on Singapore company secretarial and corporate governance matters.
Prepare and review:
Board resolutions and minutes
Members' resolutions
Incorporation documentation
Annual General Meeting documentation
Constitutional amendments
Share issuance, transfers, redemption and capital restructuring documents
Board meeting coordination
Strike off / liquidation
Ensure timely filing of all statutory submissions with ACRA and other relevant authorities.
Maintain statutory registers and corporate records.
Monitor compliance deadlines and ensure all regulatory obligations are met.
Provide guidance on Companies Act and VCC Act requirements and regulatory developments.
Support fund structures and VCC-related governance matters, including:
Incorporation and registration
Sub-funds establishment and maintenance
Governance and regulatory filings
Coordination with fund managers and service providers
Serve as the primary contact for assigned clients.
Provide practical and commercially focused advice on corporate secretarial and governance matters.
Build and maintain strong client relationships through proactive communication and high-quality service delivery.
Understand clients' business needs and identify opportunities to enhance service value.
Liaise effectively with, Directors and shareholders, Fund managers, Auditors, Legal counsel, Tax advisers, Regulators and government authorities, Internal operational teams
Coordinate complex transactions involving multiple stakeholders and jurisdictions.
Review work prepared by junior team members and provide technical guidance.
Mentor and train team members on Singapore corporate secretarial practices and regulatory requirements.
Assist in developing and improving internal processes, templates, and compliance frameworks.
Participate in regulatory change management and implementation projects.
Ensure all engagements are completed in accordance with internal policies, procedures, and quality standards.
Identify and escalate compliance, governance, and operational risks.
Support internal and external audits, regulatory inspections, and due diligence exercises.
Skills Required:
Degree in Corporate Administration, Law, Business Administration, Accounting, Finance, or a related discipline.
ICSA/CGI qualification or equivalent professional qualification preferred.
Qualified Chartered Secretary will be highly regarded.
Minimum 10–15 years' relevant company secretarial experience in Singapore.
Strong hands-on experience handling both: Singapore Private Limited Companies (Pte. Ltd.) and Variable Capital Companies (VCCs)
Ability to independently manage complex company secretarial matters.
Familiarity with fund structures and investment fund governance is advantageous.
