Job Description

Join a fast-paced, collaborative Legal Shared Services Team mainly supporting complex Trading & Markets and restructuring-related transactions. You’ll take ownership of key documents, drive negotiations, and help deliver practical, commercial solutions under tight timeframes. This role offers broad exposure to stakeholders mostly located in the United States but also in other jurisdictions, with the opportunity to develop deep expertise in secondary loan trading and lock-up agreements, including cooperation agreements, transaction support agreements and restructuring support arrangements.

As an Associate Counsel in the Legal Shared Services Team, you’ll support transactional legal work with a focus on Trading & Markets and/or restructuring-related matters. You will review, draft, and negotiate a variety of agreements and provisions, including NDAs, LSTA secondary loan trading documentation, and provide clear guidance to internal stakeholders on a variety of corporate documents and agreements, including cooperation agreements, restructuring-related support agreements and, transfer-related provisions in credit agreements. You’ll also serve as a primary contact for associate lawyers in other jurisdictions, providing coverage, driving decisions, escalating issues appropriately, and helping execute deliverables efficiently and accurately in a high-volume environment.

Job Responsibilities:

  • Reviewing a variety of corporate documents and agreements, including lock-up agreements such as cooperation agreements, restructuring-related support agreements, and transfer-related provisions in credit agreements.
  • Draft and negotiate non-disclosure agreements (NDAs).
  • Draft and negotiate LSTA secondary loan trading documentation and related trading terms.
  • Coordinate with associate lawyers in other jurisdictions to align on approach, and execution timelines.
  • Advise business and support partners on transactional documentation issues and practical paths to resolution.
  • Drive decision-making by identifying key issues, proposing solutions, and escalating where needed.
  • Manage multiple priorities simultaneously while maintaining accuracy, organization, and attention to detail.
  • Utilize registration statement software and other legal tech tools to complete assigned work efficiently.
  • Support special projects and ad hoc transactional initiatives as business needs arise.

Required Qualifications, Capabilities, and Skills:

  • J.D. (or equivalent law degree) and admission to practice in at least one jurisdiction.
  • 3+ years of verifiable transactional legal experience in Trading & Markets and/or restructuring (big law firm and/or in-house at a bank, financial institution, fintech, or similar).
  • Demonstrated experience reviewing and negotiating complex agreements and advising on associated legal risks.
  • Experience with NDAs (drafting and negotiation) in a transactional setting.
  • Familiarity with secondary loan trading documentation (including LSTA-style documentation) and trading workflows.
  • Experience reviewing and interpreting credit agreement provisions, including transfer/assignment restrictions and related mechanics.
  • Strong judgment with the ability to make decisions and solve problems on short notice.
  • Proven ability to work independently, prioritize effectively, and deliver high-quality work under time pressure.
  • Strong interpersonal skills and ability to communicate with multiple business and support groups across regions and functions.
  • Strong writing and verbal communication skills, including the ability to deliver clear, actionable legal guidance.
  • Proficiency with Microsoft Word, Outlook, and Litera Workshare Compare (or equivalent document comparison tools).

Preferred Qualifications, Capabilities, and Skills:

  • 4+ years of experience with Trading & Markets transactions, restructuring matters, or a blended practice covering both in a top tier law firm.
  • Direct experience supporting restructuring-related processes, including coordination of multi-party arrangements and tight timelines.
  • Comfort working across jurisdictions and time zones with a strong understanding of cross-border coordination dynamics.
  • Experience using registration statement software and/or broader legal tech workflow tools.
  • Strong negotiation experience with external counterparties, including the ability to manage issues to closure efficiently.
  • Demonstrated ability to proactively identify recurring issues and improve templates, playbooks, or processes.
