Jouw rolAls Associate Corporate Law versterk je onze vennootschapsrechtelijke en M&A-praktijk. Je behandelt complexe juridische vraagstukken, coördineert onderdelen van dossiers en ondersteunt managing associates en Partners. Je levert kwalitatieve output en draagt actief bij aan de ontwikkeling van jongere collega’s.
Wat ga je doen?• Je adviseert cliënten in vennootschapsrechtelijke trajecten: oprichtingen, aandeelhoudersovereenkomsten, herstructureringen, ontbindingen en vereffening.• Je werkt mee aan M&A-trajecten: juridische due diligence en het (mee)opstellen en onderhandelen van transactiedocumenten (LOI, SPA, APA, …).• Je stelt commerciële contracten op en reviewt ze (huur, distributie, agentuur, algemene voorwaarden, …).• Je vertaalt klantvragen naar een concrete juridische aanpak en bereidt adviezen voor ter bespreking met de verantwoordelijke managing associate of Partner.• Je begeleidt junior associates in hun dossiers en geeft constructieve feedback.• Je signaleert commerciële kansen en bespreekt deze met de managing associate of partner; je draagt bij aan kennisdeling via presentaties, artikelen en seminars.• Je volgt deadlines, kwaliteitscontroles en communicatie met cliënten en collega’s proactief op.
Jouw profiel• Master in de Rechten; een bijkomende master of specialisatie in vennootschapsrecht of notariaat is een plus.• Circa 3 jaar relevante ervaring in vennootschapsrecht, M&A en contracten binnen een advocatenkantoor (of gelijkwaardige praktijkervaring).• Sterke analytische en pragmatische ingesteldheid: je detecteert de kernvragen en formuleert heldere, toepasbare oplossingen.• Nauwkeurig, gestructureerd en resultaatgericht.• Uitstekende communicatieve vaardigheden en klantgerichtheid; je past je toon aan het publiek aan.• Teamspeler met coachingpotentieel: je ondersteunt en ontwikkelt jongere collega’s.• Taalvaardig: uitstekende kennis van Nederlands; goede tot zeer goed van Frans en Engels.
