Job Description

SUMMARY
The Associate Counsel will support the General Counsel and the Deputy General Counsels in providing legal counsel to Prosperity Life Group and its affiliated companies, including various life and annuity underwriting companies (together, “the Company”). Responsibilities include providing legal advice to the executive management team and business units and advancing the interests of the Company and its operations.

ESSENTIAL DUTIES & RESPONSIBILITIES
• Reviewing, drafting and providing legal advice with respect to third-party vendor contracts, confidentiality agreements, and consulting agreements. and other legal documents or communications as requested by the business areas.
• Identifying areas to improve the effectiveness and efficiency of the contract review process through template development and review, contractual term knowledge library, and use of AI and other technological tools.
• Providing advice with respect to legal requirements applicable to the Company’s business, including privacy and cybersecurity.
• Assisting with threatened or pending litigation matters.
• Proactively engaging in the business processes of the Company to anticipate needs and risks and working with specific business areas to manage the same.
• Providing legal support and assistance to the Director, Legal Services & Operations, in responding to legal questions posed by the policyowner services, claims, licensing and commissions, and new business teams.
• Supporting the Compliance team as to legal interpretations of regulatory requirements.
• Conducting legal research as may be required to perform functions.
• Preparing legal memoranda summarizing state and federal statutory and regulatory requirements and application of the same.
• Handling other special projects and duties as may be requested.

EDUCATION AND/OR EXPERIENCE
Juris Doctor is required from an ABA accredited law school. Minimum of 5 years in the practice of law. Must have some direct experience in the life or annuity insurance industry.

COMMUNICATION & LANGUAGE SKILLS
Ability to read, analyze and interpret the most complex documents. Ability to respond effectively to the most sensitive inquires or complaints. Ability to produce effective correspondence and written analysis regarding complex issues. Ability to make effective and persuasive oral and written presentations on controversial or complex topics.

MATHEMATICAL SKILLS
Ability to calculate figures and amounts such as discounts, interest, comm1ss1ons, and percentages. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.

COMPETENCIES

REASONING ABILITY
Ability to apply principles of logical thinking to a wide range of intellectual and practical problems. Ability to use non-verbal symbolism such as formulas, equations, and graphs to determine solutions to problems requiring extensive interpretation of potential outcomes.

License to practice law in applicable state, depending on location.
