Assistant Secretary

This is a corporate governance professional role in which the selected candidate will serve as the Assistant Corporate Secretary and works closely with executive leadership, the Corporate Secretary, the CEO, Management Council, and the Board of Directors.

The position requires a high degree of professionalism, discretion, judgment, and attention to detail in managing board-related activities, supporting governance processes, and ensuring that key corporate actions are properly coordinated, documented, and carried out.

** An Undergraduate Degree is REQUIRED.

** A Masters Degree in Business or related field, or Law Degree is preferred.

Please Note; There will be an in-office presence expectation at 241 Ralph McGill Blvd, Atlanta, GA four (4) days per week and/or as additionally required, potentially with little to no advanced notice.

JOB SUMMARY:

This position is responsible for providing support to the Corporate Secretary and leading all activities and logistics relating to the Georgia Power Company Board of Directors, while ensuring compliance with the Company’s Charter and Bylaws and other statutory and regulatory requirements.

Works directly with the GPC Board of Directors with respect to the planning and coordination of meetings, agendas and minutes; training the Company’s Board of Directors in areas including, but not limited to corporate compliance, director roles and responsibilities; drafting resolutions for consideration and adoption by the Board of Directors; maintaining corporate records and liaising with internal and external auditors, internal and external legal resources, and company business functions to manage governance issues, as well as company and board activities.

JOB REQUIREMENTS: (Education, Experience, Knowledge, Skills)

  • Undergraduate degree is Required.
  • Masters Degree is business or related field, or law degree is preferred.
  • *** 8 years of experience working in a corporate environment with senior management, with comprehensive knowledge of the Company’s organizational structure, Bylaws and Articles of Incorporation.
  • Must be able to build and maintain trust based on personal integrity, handling of sensitive information, and the maintenance of confidentiality.
  • Excellent written and oral communication skills and demonstrated ability to effectively communicate at all levels of the organization and with both internal and external contacts.
  • Excellent organizational and project management skills, attention to detail, and utilization of resources to manage competing priorities and meet delivery expectations and deadlines.
  • Demonstrated proficiency in Microsoft Office, including Word, Excel and PowerPoint.
  • Strong research and analytical skills.

Demonstrated Abilities:

  • Works with system Corporate Secretaries; Assistant Corporate Secretaries; and GPC executive leadership to include the CEO, Management Council, and the Board of Directors to manage, implement, and ensure the appropriate execution of board directives, and governance activities and requirements.
  • Demonstrates a high level of ethical behavior in both job-related and personal activities and ability to be discreet with sensitive and confidential matters.
  • Tolerates stress and provides a stable level of performance in a fast moving, changing environment and under pressure and/or opposition. Must maintain a controlled demeanor, composure and objectivity when confronted with difficult issues.
  • Able to work independently with self-starting, results-oriented capabilities.

MAJOR JOB RESPONSIBILITIES:

Assistant Corporate Secretary/ Board of Director Responsibilities

  • Works alongside the Corporate Secretary in translating board directives into management actions.
  • Serves as the primary liaison between the CEO, Corporate Secretary and the Board of Directors.
  • Responsible for all aspects of meetings of the Board of Directors, including drafting, planning and executing meeting agendas; attending all Board of Directors meetings; serving as secretary of the minutes; taking and recording board minutes; and translating board decisions into deliverables.
  • Facilitates all activities associated with meetings of the Committees of the Board of Directors – Controls and Compliance, Finance, Safety and Operations, and Executive.
  • Develops training for the Company’s Board of Directors in areas including, but not limited to corporate compliance, director roles and responsibilities, and various other corporate educational topics surrounding the business of the company and the electric utility industry.
  • Provides efficient administration of company business through adherence to statutory and regulatory requirements and implementing decisions of the Board of Directors.
  • Administers the Company’s non-employee director compensation plans, including quarterly distributions for cash and stock retainers, annual director elections and 1099s, and retired director distributions.
  • Manages, maintains and directs the administration of Diligent Books, the technology application that houses Board of Directors resource materials, communications, and presentations.
  • Collaborates with the GPC Corporate Secretary, Southern Company Legal department, and the Southern Company Corporate Secretary’s Office to execute the company’s business in the form of financial transactions, regulatory disclosures, and board resolutions to ensure that company business is properly developed, recorded, and retained.

Corporate Governance

  • Provides solid leadership of corporate governance goals and objectives, evaluating and continually improving current practices and processes and developing plans to enhance and manage the function on an ongoing basis.
  • Serves as a resource to ensure that GPC is apprised of the latest developments on corporate governance issues by active participation in professional organizations as needed and regular attendance at training and learning sessions for corporate governance matters.
  • Maintains and completes business license applications and renewals as required by local, state and federal laws for the Company and for providing information to assist in corporate governance filings.
  • Reviews, attests, and applies the corporate seal to various legal and land documents and contracts.
  • Responsible for analysis of officer and director independence and qualifications under applicable securities laws and for informing directors and officers of statutory liabilities applicable to them with respect to the Company’s securities.
  • Administers the Insider Trading Policy to ensure compliance with SEC rules and regulations.
  • Works with Southern Company legal, Corporate Secretary and Treasury departments to execute closing documents when issuing/remarketing debt.

Registered Agent

  • Serves as the Registered Agent of the Company for service of process and the primary contact to receive legal documents and notices on behalf of the Company and to appropriately process correspondence and notices in a timely manner.
