Job Description
The Assistant General Counsel – Technology and Contracts provides legal advice and support on a wide range of commercial contracting matters. The role is highly cross-functional and cross-collaborative, working with multiple stakeholders across the Company, including the vendor management, information and technology, information security, regulatory compliance, enterprise risk management, and line of business teams.

Position Accountabilities
Specific Accountabilities
- Negotiate and draft wide variety of complex commercial agreements including, for example, SaaS, cloud computing, software licensing, outsourcing, fin-tech, and professional services agreements.
- Negotiate and draft various agreement types including, for example, master service agreements, SOWs, RFPs, licensing agreements, marketing agreements, and more.
- Provide practical, actionable contracting solutions that support business goals.
- Advise stakeholders on legal and regulatory risks at all stages of the contract lifecycle.
- Demonstrate advanced knowledge of banking regulations and supervisory expectations that impact third party risk management. Advise stakeholders on contractual management of risks relating to privacy, information security, BSA/AML, artificial intelligence (AI), third party risk management, and consumer protection obligations. Partner with stakeholders to align contracts with regulatory obligations and supervisory expectations.
- Drive changes that improve management of contractual risk. Develop playbooks, templates, policies, and contracting standards that enhance third party risk management practices and vendor governance.
- Build relationship of trust, demonstrate expertise, and provide expert legal advice and support to various stakeholders on a wide range of legal issues.
General Accountabilities
- Provide expert, practical legal advice on a wide array of federal, state, and local laws and regulations affecting the Company generally or assigned lines of business and/or functions. Develop sound legal assessments, interpretations, recommendations and opinions regarding the Company’s legal rights and obligations.
- Develop legal strategies for achieving business goals and resolving complex legal problems.
- Understand the Company’s business strategies and use such understanding to inform legal advice.
- Lead discussions on complex legal topics with a wide variety of stakeholders, including members of the Company’s senior and executive management teams.
- Retain and manage outside legal counsel in a manner that ensures the quality, efficiency, timeliness, and soundness of legal advice.
- Conduct sophisticated legal research using various sources and methods.
- Apply sound ethical judgment in execution of all duties and responsibilities.
- Provide legal advice and support, and perform a wide variety of other tasks, as assigned to help the Company protect its business, commercial, and reputational interests.
Position Qualifications
Education & Experience
- Minimum of 12 years as a practicing attorney with relevant financial services experience, of which at least 5 years was spent as in-house counsel at a highly respected financial institution.
- Licensed Attorney admitted to practice in one of the following jurisdictions: Virginia, North Carolina, Maryland, District of Columbia, or New York; or be able to satisfy reciprocity or corporate counsel requirements for admission into one of those jurisdictions
- Completion of accredited Law School with degree (J.D.)
- Completion of four years of college undergraduate study with degree

- Highest degree of adherence to ethical standards in the legal profession
- Proficient in standard corporate applications, including Microsoft Word, Outlook, Excel, and PowerPoint.
- Understanding and regular use of artificial intelligence (AI) tools to complete tasks
Salary offered will be based on several factors including but not limited to education, work experience, certifications, etc. Th is position is also eligible to participate in either an applicable incentive compensation plan for the position or a discretionary profit sharing bonus program.
