Legal is hiring an Assistant Company Secretary for its UKI Corporate Secretariat (UKI Cosec) team in London. The UKI Cosec team provide high-quality corporate governance and board support to Deutsche Bank’s key regional entity boards and committees.

The successful candidate will manage the "engine room" of the department, working alongside the rest of the team to ensure the statutory compliance and administrative foundations of our entities are maintained to the highest standards. In addition, you will have your own portfolio of boards and committees.

Your key responsibilities

  • Full end-to-end responsibility for a portfolio of subsidiary boards and committees, liaising with Chairs and key stakeholders, drafting agendas, distributing meeting packs, taking minutes and advising on governance policies and protocols.
  • Maintain and update statutory registers and corporate records for UK and Irish entities using corporate database systems and file statutory returns with Companies House and the Companies Registration Office.
  • Manage authorised signatory approval, review and attestation processes ensuring timely updates and appropriate internal controls.
  • Lead or support periodic departmental projects or initiatives such as the statutory accounts cycle, director training and induction, board evaluation and other governance work.
  • Contribute to the continuous improvement of internal processes through automation and use of AI tools.

Your skills and experience

  • CGI (formerly ICSA) qualified or in final stages of qualifying
  • Prior experience working within a company secretariat function, ideally within financial services or other highly regulated environment
  • Practical understanding of the UK Companies Act 2006. Knowledge of the Irish Companies Act 2014 is highly desirable.
  • Strong technology mindset, including familiarity with entity management and board portal software
  • Strong written communication skills, with a proven ability to draft clear, concise minutes coupled with exceptional organisational skills with a focus on accuracy, meeting strict deadlines and enthusiasm with an eagerness to learn.
  • Ability to build strong relationships across the team and communicate effectively with stakeholders at various levels alongside the ability to work well independently and within a team in a fast-paced environment
  • Proven ability to leverage AI tools to enhance productivity, optimise workflows to solve business problems, while applying critical judgment to ensure responsible and ethical use of data and AI outputs
