职位描述
1、IPO全流程主导 根据公司战略发展规划，编制公司资本项目投资规划，并组织各阶段项目实施； 统筹A股/H股上市申报材料编制、问询反馈及发行上市，成功主导IPO上市； 设计符合创业公司、科技制造企业的股权架构及合规路径，规避过度合规导致的效率损耗。 2、资本法务风控 识别股权激励中的法律与商业风险，并提供可落地的解决方案； 参与商业谈判，就交易结构、对赌条款等输出风控与博弈，输出风险控制、决策方面的策略建议。 3、三会治理升级 优化股东大会、董事会、监事会运作机制，提升决策效率； 建立信息披露管理制度及披露相关工作实施，以及平衡监管要求与市值管理需求； 4、资本战略协作 推进公司整体IPO进程，协调各中介机构； 协同财务、法务等相关部门设计IPO窗口期策略； 负责公司投资者关系管理，协调好媒体关系，组织公司资本市场的路演等公关活动及实施，提升资本市场形象。
职位要求
1、5-8年证券事务、资本法务经验，甲/乙方复合背景优先（纯乙方律所/投行可放宽），英文流利； 2、具备A股/H股全流程成功IPO项目实践经验，深耕科技/高端制造赛道，曾服务Pre-IPO至上市后1年内企业，熟悉创业公司成长各阶段痛点及资本诉求； 3、资本法务双修，精通《证券法》《上市规则》，兼具交易结构设计、股权纠纷等处理能力，且能基于商业目标平衡风控尺度； 4、可独立输出资本规划建议（如拆VIE时间表、期权池预留比例等），持有法律职业资格证、证券/基金从业资格证； 5、可直接参与公司资本战略制定，以IPO经验反哺业务决策，在合规框架内找到风险与增长的最优解。
